1. The Service

Signal Beam, Inc. ("Signal Beam", "we", "us") provides an AI-powered sales intelligence platform accessible at app.signalbeam.ai and through the Scout Chrome Extension (collectively, the "Service"). The Service helps sales professionals research prospects, generate outreach, and manage workflows using publicly available LinkedIn data and connected CRM systems.

2. Eligibility

You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of yourself or your organization. By using the Service you represent that these conditions are met.

3. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@signalbeam.ai if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You must not:

• Use the Service to harass, spam, or send unsolicited communications at scale
• Scrape, crawl, or systematically extract data from the Service beyond normal use
• Attempt to reverse-engineer, decompile, or derive source code from the Service
• Use the Service in violation of LinkedIn's Terms of Service or any applicable law
• Resell, sublicense, or otherwise make the Service available to third parties without our written consent
• Introduce malware, interfere with the Service's infrastructure, or attempt unauthorized access

5. Scout Chrome Extension

Scout is provided as a companion tool to your Signal Beam subscription. It is designed to operate on LinkedIn profile and company pages and transmit publicly visible profile data to Signal Beam's servers for processing. You are responsible for ensuring your use of Scout complies with LinkedIn's terms and any applicable laws in your jurisdiction.

6. Subscriptions and Billing

Access to the Service requires an active paid subscription. Subscriptions are billed on a recurring basis (monthly or annually) through Stripe. By providing payment information you authorize Signal Beam to charge your payment method on the applicable billing cycle.

All fees are non-refundable except as required by law or as expressly stated in a written agreement. We reserve the right to change pricing with 30 days' notice to active subscribers.

7. AI-Generated Content

The Service uses large language models to generate intelligence summaries, outreach drafts, and other content ("AI Output"). AI Output is provided for informational purposes only. You are responsible for reviewing AI Output before use and for any decisions made based on it. Signal Beam makes no representations about the accuracy, completeness, or suitability of AI Output for any particular purpose.

8. Intellectual Property

Signal Beam and its licensors own all right, title, and interest in the Service, including all software, models, and content we produce. These terms do not transfer any ownership rights to you. You retain ownership of data you bring into the Service (e.g., your CRM contacts).

9. Third-Party Integrations

The Service may integrate with third-party platforms including HubSpot and Stripe. Your use of those platforms is governed by their respective terms of service. Signal Beam is not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL BEAM'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SIGNAL BEAM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Termination

You may cancel your subscription at any time from your billing settings. We may suspend or terminate your access for violation of these terms, non-payment, or any reason with reasonable notice. Upon termination, your right to use the Service ends immediately. Sections 8, 10, 11, and 13 survive termination.

13. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised terms.
